Workflex
Terms of Service
Effective Date: 2026-10-10
1. Acceptance of Terms
By engaging Workflex ("Company", "we", "us", or "our") for services, you ("Client" or "you") agree to be bound by these Terms of Service. If you are entering into these terms on behalf of an entity, you represent that you have the authority to bind that entity.
2. Description of Services
Workflex specializes in B2B technology solutions, specifically:
- Development of server-side applications.
- Consulting in Technology infrastructure.
- Consulting in Artificial Intelligence (AI) systems infrastructure.
The specific scope, deliverables, timeline, and fees for any project will be outlined in a separate Statement of Work (SOW) or formal proposal agreed upon by both parties.
3. Client Obligations
To ensure the successful delivery of our services, you agree to:
- Provide timely access to necessary systems, infrastructure, and personnel.
- Provide accurate and complete information required for the development or consulting process.
- Ensure that any data, code, or intellectual property you provide to us for use in the project (especially concerning AI training models) does not violate any third-party rights or data protection laws.
4. Privacy and Data Processing
Workflex is strictly committed to data minimization. We only collect data necessary to provide our services, as outlined in our Privacy Policy.
If our services require us to process personal data on your behalf (e.g., handling databases during server-side development), Workflex will act as a Data Processor, and a separate Data Processing Agreement (DPA) compliant with GDPR will be executed alongside the Statement of Work.
5. Intellectual Property
- Custom Development: Upon receipt of full payment for the agreed-upon services, Workflex assigns to the Client all rights, title, and interest in the custom deliverables (e.g., server-side code) created specifically for the Client, unless otherwise specified in the SOW.
- Pre-existing Materials: Workflex retains all intellectual property rights to any pre-existing code, frameworks, tools, or methodologies used in the delivery of the services. We grant the Client a non-exclusive, non-transferable license to use these materials solely to the extent necessary to use the final deliverables.
6. Confidentiality
Both parties agree to treat all non-public business, technical, and financial information received from the other party as strictly confidential. Neither party will disclose such information to any third party without prior written consent, except as required by law.
7. Warranties and Limitation of Liability
- Warranties: Workflex will perform the services in a professional and workmanlike manner. However, due to the nature of software development and AI systems, we do not warrant that deliverables will be entirely error-free or operate without interruption.
- Limitation of Liability: To the maximum extent permitted by applicable law, Workflex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability arising out of or related to these terms will not exceed the total amount paid by the Client to Workflex under the specific SOW giving rise to the claim.
8. Governing Law and Jurisdiction
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of The European Union.
9. Changes to Terms
Workflex reserves the right to modify these Terms of Service at any time. We will notify active clients of any material changes. Continued use of our services after any such changes constitutes your consent to such changes.
